1. Acceptance of Terms
By browsing, accessing, or contracting services through the TaskUp Global platform, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you are accepting these terms on behalf of a company, clinic, or other corporate entity, you represent and warrant that you hold the legal authority to bind that entity to these guidelines.
We reserve the right to revise or modify these terms at any time. Any changes will be indicated by the updated "Effective Date" at the top of this document. Continued engagement with our remote professionals after modifications occur constitutes acceptance of the revised terms.
2. Services & Scope
TaskUp Global acts as a specialized remote support platform, sourcing, vetting, training, and assigning qualified professionals (Virtual Assistants, Bookkeepers, Developers, Marketers) to assist clients with business operations. The specific tasks, hours, time zones, and tools (e.g. QuickBooks, Zendesk, Salesforce) will be outlined in a separate Service Level Agreement (SLA) or pricing proposal.
While we exert rigorous efforts to pre-screen and test candidates, you maintain oversight and direction over the daily workflows, SOP compliance checklists, and task outputs completed by your matched resources.
3. Client Responsibilities
To ensure a successful partnership, clients are required to adhere to the following responsibilities:
- Adequate Training & SOPs: Provide clear instructions, software tutorials, and Standard Operating Procedure (SOP) files to matched remote resources.
- Access Configurations: Ensure secure provisioning of necessary logins, licenses, and virtual workstations (VPNs) for resources, maintaining 2FA guidelines.
- Compliance Compliance: Maintain absolute legal compliance regarding the software databases and portal tools utilized by the resource. If handling health records, client must notify TaskUp Global to execute a BAA.
- Fair Treatment: Maintain standard professional communication channels (e.g., Slack, email) and provide safe operational environments.
4. Billing, Fees & Payment Terms
Billing terms are detailed in the specific SLA proposal executed during onboarding:
- Pricing Structure: Services are billed on a recurring monthly subscription model based on the selected resource rate, assigned weekly hours (e.g., 20 or 40 hours), and weekly intervals.
- Invoicing & Payment: Invoices are generated in advance at the start of each service cycle. Payment authorizations must be linked to a valid corporate credit card or direct bank ACH routing account.
- Late Payments: Accounts with payments overdue by more than seven (7) business days are subject to instant service suspension until balances are settled.
5. 7-Day Trial & Replacement Policy
We stand behind the quality of our remote talent through structured guarantees:
7-Day Risk-Free Trial: New client accounts qualify for a 7-day test run with their matched resource. If you decide that the professional's capabilities do not align with your workflow within these first 7 calendar days, you may cancel the onboarding agreement immediately by notifying your account manager. Under this trial warranty, you will pay nothing.
Instant Replacement Policy: If at any point during active operations your matched professional becomes unavailable due to personal matters, or if project needs shift requiring different tools (e.g., switching from marketing to bookkeeping), we provide instant replacement matching. Your account manager will oversee SOP transfer, ensuring zero loss in daily business continuity.
6. Confidentiality & Non-Disclosure
Both TaskUp Global and the client agree to protect each other’s proprietary information, business models, client rosters, clinic database details, and trade secrets with standard reasonable precautions.
We ensure that all remote specialists assigned to your workflows execute comprehensive, legally binding non-disclosure agreements (NDAs) that safeguard your data-privacy and prevent unauthorized dissemination of sensitive files.
7. Intellectual Property Rights
All deliverables, application code, content copy, design files, spreadsheet logs, and operational products created or compiled by the matched remote professionals specifically for the client during billed service hours shall belong exclusively to the client upon full payment of active invoices.
TaskUp Global retains all rights, titles, and interests in its internal training manuals, operational templates, software portals, and proprietary matching technologies.
8. Limitations of Liability
TASKUP GLOBAL PROVIDES REMOTE PROFESSIONAL MATCHING SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TASKUP GLOBAL, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF BUSINESS REVENUES, PROFITS, OR DATA ARISING FROM RESOURCE WORK PRODUCT OR DELIVERABLES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR ACTIVE SERVICES SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CLIENT TO TASKUP GLOBAL IN THE THREE (3) MONTHS PRECEDING THE CLAIM EVENT.
9. Governing Law & Dispute Resolution
These Terms of Service, along with any separate operational SLAs, shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflicts of law principles.
Any dispute, claim, or controversy arising out of this agreement shall be resolved through good-faith negotiation. If negotiations fail, parties agree to submit the dispute to binding arbitration in Florida, conducted by a single neutral arbitrator, with the prevailing party entitled to recover reasonable legal fees.
